Senior U.S.-Licensed Attorney – Delaware Chancery / NY Commercial Litigation
Fee-for-Service Engagement with Potential Corporate Counsel Appointment
Overview
We are seeking a senior U.S.-licensed attorney with deep experience in Delaware Chancery Court and New York commercial litigation to handle an immediate response to a demand letter that lacks factual and legal merit, and to advise on strategic positioning should the matter progress.
This engagement is initially fee-for-service. However, the ideal candidate may be considered for a longer-term Corporate Counsel role with a private equity firm, subject to performance, alignment, and organizational need.
The role is suited for a litigator who understands how early-stage positioning, tone, and record-building affect downstream outcomes—particularly in fiduciary, contractual, and business dispute contexts—and who can prepare a matter for litigation without unnecessarily accelerating it.
Scope of WorK
Draft a controlled, Chancery- and NY-ready response to a demand letter, addressing legal and factual deficiencies while preserving all rights and remedies
Assess forum strategy, jurisdictional posture, and litigation risk across Delaware and New York (with Ohio as applicable)
Ensure communications are structured to support potential Chancery Court or NY Commercial Division proceedings if required
Preserve defenses, counterclaims, and evidentiary positions from inception
Advise executive leadership on escalation thresholds, reputational considerations, and cost-benefit tradeoffs
Coordinate pre-litigation strategy with an eye toward judicial credibility and procedural discipline
Required Qualifications
Active U.S. law license with ability to practice in:
Delaware
New York
Ohio
8+ years of experience in one or more of the following:
Delaware Chancery Court litigation
New York Commercial Division litigation
Complex commercial, fiduciary, or contract disputes
Demonstrated experience handling demand letters, pre-suit correspondence, and litigation positioning
Exceptional written advocacy skills—precise, restrained, and court-conscious
Sound judgment in balancing firmness with proportionality
Strongly Preferred
Meaningful experience in Delaware fiduciary duty, governance, or control disputes
Background advising private equity sponsors, boards, or portfolio companies
Ability to shift seamlessly between outside counsel rigor and in-house strategic perspective
Comfort working directly with CEOs, boards, and investors
